PDNob Terms of Service — Your Rights and Responsibilities

PDNob is a product and service platform operated under TENORSHARE (HONG KONG) LIMITED (hereinafter referred to as “PDNob,” “We,” or “Us”). This agreement applies to the user (hereinafter referred to as “You”) and PDNob, and governs your rights and obligations when accessing or using PDNob products and services. It is legally binding for both parties.

This agreement complements the "Privacy Policy." Please carefully read and understand both this Terms of Service and the Privacy Policy before using PDNob products or services. You should pay particular attention to the following sections: "Your Access to and Use of Our Services" (Section 4), "Intellectual Property Rights" (Section 5), "Software Updates" (Section 8), "No Warranty for Licensed Products" (Section 9), and "Limitation of Liability" (Section 10).

The service descriptions, pricing information, and order pages you confirm on PDNob product pages are an integral part of this agreement and have the same legal effect. In case of any conflict between these Terms and the aforementioned pages, the content on the PDNob product pages shall prevail.

1. Accepting the Terms

Your access to or use of PDNob websites, products, or services (hereinafter referred to as “Access or Use,” including but not limited to downloading, installing, launching, browsing, registering, logging in, etc.) constitutes full acceptance of these Terms and the Privacy Policy. If you do not agree with any part of these Terms, please do not access or use PDNob products or services and immediately uninstall or delete any copies you have.

If you are under 18 years old, you must use the services with the consent of your parents or legal guardians and ensure they have read and discussed these Terms with you.

The information provided by PDNob products is not intended for distribution to or use in any jurisdiction or country where such distribution or use would violate local laws or regulations or would subject PDNob to any registration requirements. Users accessing PDNob products from other locations do so on their own initiative and are solely responsible for compliance with local laws.

2. Changes to the Terms

We reserve the right, at our sole discretion, to modify these Terms of Service. Material changes will be disclosed on this website or through in-product notifications. You should regularly review the Terms to check for updates. The “Last Updated” date reflects the effective date of the Terms.

If you do not agree with any modifications that have taken effect, you must stop accessing or using PDNob products. Continued use after changes have taken effect constitutes acceptance of the amended Terms.

3. Your Account with Us

To access or fully use PDNob products, you may be required to create an account, either via email or through a third-party account (such as Google, Apple, or Facebook).

The registration information you provide must not contain illegal or harmful content. When creating personal information such as nicknames and avatars, you agree not to use content that is illegal, fraudulent, defamatory, insulting, hateful, violent, harassing, discriminatory, racist, or infringes upon the rights of others (including intellectual property, privacy, or portrait rights).

You must not impersonate others or share your account credentials. If PDNob receives reports, has reasonable evidence, or identifies that the current user is not the original registrant, or if your account violates any Terms or third-party rights, we reserve the right to suspend, terminate, or cancel the account.

You are responsible for safeguarding your account and password. You agree to take full responsibility for all activities under your account. To request account deletion, contact: [email protected].

4. Your Access to and Use of Our Services

Users are granted the right to access and use PDNob products for personal, non-commercial purposes. PDNob provides a personal, non-transferable, non-sublicensable, revocable license to use PDNob products.

When using PDNob products, you must comply with applicable laws and these Terms. You are prohibited from:

  • Copying, modifying, or creating derivative works without authorization;
  • Selling, renting, lending, distributing, or transmitting the software to others;
  • Decompiling, reverse-engineering, or exporting source code without authorization;
  • Developing new products based on PDNob products;
  • Providing services, application support, or commercial sharing without authorization;
  • Infringing on PDNob or third-party rights;
  • Using the products for illegal activities or violating public order and good customs;
  • Engaging in any unauthorized activities without PDNob’s consent.

5. Intellectual Property Rights

All content in PDNob products (including trademarks, patents, text, images, logos, videos, audio, layout designs, page structures, programs, etc.) is owned by PDNob or licensed to PDNob and protected under copyright and other intellectual property laws. Access grants you a limited license only; it does not transfer any intellectual property rights.

Without written consent, no one may copy, distribute, or publish any PDNob intellectual property for commercial or non-commercial purposes. PDNob may pursue legal action against infringements.

PDNob products include ABBYY® FineReader® Engine 12 recognition technology © 2023 ABBYY Development Inc., and PDF technology powered by Apryse™ distributed by AFIRSTSOFT CO., LIMITED.

6. Fees and Payment

1) Paid Services
PDNob products or services may include paid features. For content or services that require payment, we provide clear notices within the app or on product pages. You have the right to decide whether to accept paid services. If you decline, you will not be able to use the paid features.

2) Fees, Taxes, and Third-Party Charges
By purchasing any paid service, you agree to pay applicable service fees (excluding taxes) and are responsible for all taxes, levies, duties, and third-party charges (including communication fees, data fees, credit card processing fees, currency conversion fees, and cross-border transaction fees). Tax rates are determined based on local laws at the time of payment and may adjust according to your account information.

PDNob is not liable for fees or charges from third-party services, including financial institutions or internet service providers. For questions, contact the relevant third party directly. Unpaid amounts may result in collection actions, and you bear all reasonable costs.

3) Payment Methods and Third-Party Platforms
Payments may be processed through app stores (e.g., App Store, Google Play), third-party platforms, or other tools. You must understand and agree to all terms of these channels before making payments.

4) Billing Cycles and Virtual Currency / Points
Subscription billing: Charged according to the selected billing cycle (weekly, monthly, annually).
Usage-based billing: Charged based on usage; fees will be disclosed before charging.
Virtual currency/points: Subject to their own rules and terms. Refer to specific terms for details.

5) Price Adjustments
PDNob may adjust pricing for paid subscriptions. You will be notified before adjustments take effect. Continued use after adjustments constitutes acceptance. You may cancel your subscription before changes take effect.

6) Subscription Cancellation and Refunds
Either party may cancel a subscription at any time. Cancellations take effect from the next billing cycle. Payments already made are generally non-refundable unless required by law. Refunds through App Store or Google Play must follow their policies.

7) Auto-Renewal
To prevent interruptions, PDNob offers auto-renewal for subscriptions. You may manage auto-renewal in your account settings. App Store or Google Play subscriptions must follow the respective store rules.

8) Free Trial
Free trials may be offered to new users. Trial duration and scope are announced on the website or product. At the end of the trial, the system will attempt to charge your provided payment method. Free trials via app stores are subject to store rules.

7. User Information Protection Policy

Protecting user personal information is a fundamental principle. PDNob will take reasonable measures to safeguard user data. Unless legally required, your personal information will not be disclosed to third parties without your consent. For details, refer to our Privacy Policy.

8. Software Updates

PDNob may provide Software Updates and Content Updates for PDNob products during the license term. Updates may be free or paid at PDNob’s discretion.

Update: New version of the licensed software with technical modifications, updated content, or changed functionality.
Content Update: Updates of content used by the software.

Updates may require possession of a valid license for previous versions. Licensees must terminate rights to previous versions to receive updates, but may continue using them during transition. PDNob may discontinue service for prior versions without notice.

Services and content may include materials authorized by third-party licensors. Use may be restricted by term, region, or device. PDNob is not responsible for any temporary or permanent access restrictions.

Due to regulatory or licensing changes, PDNob may modify, suspend, or terminate products, content, or services in whole or in part without prior notice. PDNob is not liable for losses caused by inability to access content due to these reasons.

9. No Warranty for Licensed Products

You acknowledge and agree:

  • We strive for accuracy but cannot guarantee completeness, effectiveness, or reliability; damages from incorrect use are your responsibility.
  • Products may not fully meet your expectations or requirements.
  • Products may not be uninterrupted, timely, secure, or error-free.
  • Errors may not be corrected.
  • Licensed software is provided "AS IS." PDNob and affiliates make no warranty regarding performance, non-infringement, merchantability, integration, quality, or fitness for a particular purpose, except where prohibited by law.
  • Some functions may require third-party plugins; use and responsibilities of these plugins are yours.
  • The software may include open-source materials. PDNob provides no warranty for open-source components.

10. Limitation of Liability

You may encounter factors beyond PDNob’s control, including force majeure (natural disasters, war, strikes, riots, network issues). PDNob is not liable for losses due to such events.

PDNob may handle illegal or non-compliant content but is not obligated to do so.

PDNob is provided for personal/family use; we are not liable for commercial losses.

PDNob may change, suspend, revoke, or limit services for operational reasons.

PDNob and affiliates are not liable for indirect, punitive, or incidental losses, including: inability to access products, third-party actions, or use of product content.

Total liability is limited to fees you paid for PDNob products.

These limitations apply regardless of prior notice or awareness.

Mobile expenses, including SMS/data charges, are your responsibility.

You acknowledge that use of PDNob software is at your own risk. PDNob provides no oral or written warranty.

You may not use PDNob to violate local laws or infringe rights; violation is your responsibility.

Serious violations not remedied within 15 days may result in immediate termination or account deactivation.

11. Indemnification

You agree to indemnify and hold PDNob harmless from any claims, losses, liabilities, damages, fines, penalties, costs, and expenses (including attorney fees) arising from illegal or improper use of PDNob software. Obligations survive termination.

12. Export Restrictions

You may not export or re-export PDNob software to countries or territories sanctioned by the United Nations or the USA. By using the software, you represent you are not in such countries.

13. Applicable Law and Jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Disputes shall be resolved through arbitration administered by the Hong Kong International Arbitration Centre (HKIAC).

Class Action Waiver: Disputes may only be brought individually, not as a class action.

Invalid or unenforceable provisions do not affect remaining Terms. Provisions may be modified to comply with Chinese laws.

Failure to exercise rights does not constitute waiver.

Termination of Terms does not relieve past obligations.

14. Supplementary Provisions

Other agreements governing your use of PDNob, together with these Terms, form the overall agreement. Rights and obligations may not be transferred without consent, except as permitted by law.

PDNob may provide notices via website announcements, emails, SMS, or in-product notifications. Notices are considered delivered upon publication, sending, or continued product use.

Confidentiality, proprietary rights, indemnification, and limitation of liability remain valid after termination. Titles are for convenience only and do not affect interpretation.
